Governance

We are committed to achieving high standards of corporate governance, which we view as vital to creating shareholder value and integral to ensuring that our values and business principles are upheld.

As a premium listed company on the London Stock Exchange, we adhere to the principles and comply with the provisions of the UK Corporate Governance Code, and other corporate governance requirements in the UK. In addition, as a result of our secondary listing in Switzerland, we also follow the regulations of the SIX Swiss Exchange and Swiss securities law. Our annual general meetings are held in Switzerland.

We continuously monitor developments in corporate governance within the UK and Switzerland and apply best practice, ensuring that our approach is up-to-date and relevant.

Board diversity

While we aim to appoint the best candidates available, we recognise that it is important to maintain a Board with the right mix of skills, experience and diverse viewpoints. Our Nominations Committee is working to identify appropriate female candidates for consideration when Board vacancies occur. Women continue to be under-represented in the mining industry, particularly at the most senior levels.

Across our business, we participate in a number of initiatives to encourage women and other under-represented groups to join Xstrata and the mining industry, through a combination of mentoring, leadership development programmes and supportive working practices and policies.
