DISCLOSURE OF HOLDINGS: GLENCORE INTERNATIONAL AND CREDIT SUISSE GROUP

Xstrata plc ("Xstrata") announces that, further to the announcement of 29 May 2003, regarding a capital Management Programme (“the arrangement") entered into between Glencore International AG ("Glencore") and Credit Suisse First Boston ("CSFB"), Xstrata has been notified of the interests of Glencore in Xstrata's ordinary shares resulting from the conversion on 17 June 2003 of the Stock Units which were taken up in the Rights Issue.
Glencore are the beneficial owners holding full economic and voting rights over 101,040,400 shares (16%). In addition, Glencore is interested in a further 151,560,580 shares (24%) held by Credit Suisse First Boston Equities Nominees Limited (“CSFBEN”), to which Glencore retain full economic exposure and which are the subject of the arrangement. CSFBEN also have an interest in a further 3,927,766 (0.6%). Glencore therefore has an interest in a total of 256,528,746 shares (40.6%).
Xstrata has also been notified by Credit Suisse Group ("CSG") of its interests in the same shares, whereby:
- Credit Suisse First Boston Equities Limited ("CSFB Equities") has an interest in 155,488,346 shares (24.6%) held by CSFBEN and also 101,040,400 shares (16%) by virtue of the arrangement; and
- Credit Suisse First Boston (Europe) Limited ("CSFBE") has an interest in 90,000,000 (14.2%) shares held by Pershing Keen Nominees Limited and also 166,528,746 shares (26.4%) by virtue of the arrangement.
In addition, CSG has an interest in a further 3,367,175 shares (0.53%) outside of the arrangement.
